Web Identity reserves the right to refuse service to any merchant for any reason or no reason whatsoever. Web Identity, its management and employees, shall be held harmless for any incident within the limits of the law and any and all decisions by Web Identity, or its' Management will be considered final.


Copyright

The contents of this site, including but not limited to the text, graphics, and seals are copyright protected and is the property of Web Identity. Any unauthorized use of content, graphics, or seals, or other material on this site is strictly prohibited, unless authorized in writing by Web Identity. You also agree not to change or alter any coding to the seals once they are issued or they may be revoked or cancelled as deemed fit by Web Identity.


Limitation of Liability
Web Identity shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the services and products offered on this site, or the performance of the services and products. Web Identity is a verification service, and as such, attempts to verify the information that we receive from merchants using reasonable means. Web Identity does not guarantee or warranty any information that we gather or use and makes every effort to accurately report verification of merchant supplied documentation. Merchants shall be held liable for any incorrect or misleading data that leads to verification.


Term; Termination
These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by Web Identity or its management without notice at any time, for any reason, or no reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.

Automatic Renewal

Customer agrees that subscription based Services will automatically renew at the end of each subscription period, at the original sale amount, unless Customer sends notice of Customer's request that the Services not renew. Such notice of non-renewal must be sent to Web Identity through the e-mail address support@business-verified.com at least thirty (30) days prior to the end of Customer's current subscription period. Notwithstanding the foregoing, if Customer purchased the Services from a Web Identity authorized reseller of the Services, the subscription for the Services will not automatically renew at the end of the purchased subscription period, but shall expire and require the purchase of a new subscription period in order for the Services subscription period to be renewed.

Pro-rated sevice and refunds

New service shall not be pro-rated for any reason. Enrollment and payment on a annual plan constitutes agreement and contract to remain with the service until the contract period has ended. Annual Plans renewed on an automatic renewal will have thirty days after the renewal period to requests cancellation of service. Any service cancelled after the start of the annual billing cycle will revert to the regular priced monthly plan and a refund for the unused portion of the contract shall be issued. Monthly plans can be cancelled up to and including the fifth day prior to the recurring billing cycle. Any cancellations done within five days of the recurring date will not be honored until the next billing cycle. All cancellations must be done in writting and received by our office prior to any recurring billing cycle.

Notices
Web Identity may deliver notice to you by means of e-mail, a general notice on the site, or by other reliable method to the address you have provided during the set-up process.

Modification of Terms and Services

Web Identity reserves the right to modify these Terms from time to time. The modified Terms will be posted on this page. Customer should check here from time to time for updates. Customer agrees that its use of the Services after such a change will be deemed full and adequate acceptance of the modified Terms. Web Identity also reserves the right to modify, discontinue or make temporarily unavailable the Services. Any new or modified features of the Services, unless explicitly stated otherwise, are subject to these Terms.

Affiliates
If you participate as a Web Identity Affiliate, you agree to be bound by this Terms of Use agreement. In addition, you agree to use any and all affiliate related banners and text links ethically. You further agree that any affiliate text link information will be written to match the content and purpose of our site, and that you will not misrepresent the company or its products, services, or offerings in any way. You understand that Web Identity decides what is ethical and can at any time terminate your affiliate account if they feel that you are misrepresenting the company or unethically marketed your affiliate links. If Web Identity terminates your account, you will not be paid for any outstanding commissions and may be required to payback Web Identity for damages as a result of violation of these policies and agreement.


Bandwidth Overage Fees
If you use our Seal services, and your website receives over 100,000 visitors a year, after the first 100,000 visitors (or after the first Gigabyte of usage, whichever more accurately reflects your usage), we may charge bandwidth overage fees at the rate of $40 per 100,000 Seal image views per Seal, or $40 per Gigabyte per Seal, whichever Web Identity feels most accurately reflects your companies usage. Web Identity has the right to charge accumulated overage fees at any time and may prorate overage fees if necessary.


Miscellaneous
Your use of this site shall be governed in all respects by the laws of the state of California, U.S.A., without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this site (including but not limited to the purchase of Web Identity products) shall be in the state or federal courts located in Placer County, Califonria. Any cause of action or claim you may have with respect to the site (including but not limited to the purchase of Web Identity products) must be commenced within one (1) year after the claim or cause of action arises. Web Identity's failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Web Identity may assign its rights and duties under this Agreement to any party at any time without notice to you.


Use of Site
Harassment in any manner or form on the site, including via e-mail, chat, or by use of obscene or abusive language, is strictly forbidden. Impersonation of others, including a Web Identity employee, host, or representative, as well as other members or visitors on the site is prohibited. You may not upload to, distribute, or otherwise publish through the site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable which may constitute or encourage a criminal offense, violate the rights of any party or which may otherwise give rise to liability or violate any law. You may not upload commercial content on the site or use the site to solicit others for any reason.


Participation Disclaimer
Web Identity does not and cannot review all communications and materials posted to or created by users accessing the site, and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user-generated content on the site, Web Identity is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the site. However, Web Identity reserves the right to block or remove communications or materials that it determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark or; other intellectual property right of another or (d) offensive or otherwise unacceptable to Web Identity in its sole discretion.

However, even if the third party is affiliated with us, Web Identity has no control over these linked sites, all of which have separate privacy and data collection practices, independent of Web Identity. Changes in Information of Verification Materials
Merchants shall be responsible for notifying Web Identity if any changes occur in the requirements for verification. Changes to, but not limited to, business name and location, business licensing or revocation of licensing, business contact details or changes to website that disable or discontinue the use of verification required items, data or other. Merchant shall be required to immediately contact us should any changes occur in information covered under the security statement and questionaire portion of the verification process. Any changes above or any of the information verified may incur additional funds to reverify the information as needed to be compliant with the seal requirements.

Use of Trust Seals
All trust seals are to be used as intended. No alteration or modification of the code, either by omitting or adding information is allowed under any circumstances. Use of seals, as coded is permitted only during the term of the agreement and can be revoked for any reason, including but not limited to misuse, non-payment, use in an unintended way, use on multiple sites, unless written permission is received by Web Identity in writing, or use in a defamitory way. Seals will display the words "Active" as long as your account is in good standing and used as per these terms of use. Seals will display the words "Expired" when your account has been terminated or cancelled for any reason including, but not limited to, non-payment, misuse, use on a defamatory manner, or in non-compliance of verification standards. Web Identity reserves the right to refuse or terminate service at any time with or without cause. Customer agrees to remove immediately or cease use of seals immediately upon, but not limited to revocation of seals, termination of account, cancellation of account, or as Web Identity requires for any reason or no reason at all. Customer furthermore agrees that billing will continue, and payment will be made for as long as seals, whether showing active or expired remain in use or visible on customers or any other website or venue.

Warranty Information
This site and the materials and products on this site are provided "as is" and without warranties of any kind, whether express or implied. To the fullest extent permissible pursuant to applicable law, Web Identity disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement. Web Identity does not represent or warrant that the functions contained in the site will be uninterrupted or error-free, that the defects will be corrected, or that this site or the server that makes the site available are free of viruses or other harmful components. Web Identity does not make any warranties or representations regarding the use of the materials in this site in terms of their correctness, accuracy, adequacy, usefulness, timeliness, reliability or otherwise. Some states do not permit limitations or exclusions on warranties, so the above limitations may not apply to you. This site contains data regarding results which may not be typical results and in no way does Web Identity or its management gaurantee these results.
